License Agreement

This Assets and Software License Agreement (this "Agreement") define the terms and conditions under which we, EVOLOX, INC., a company incorporated under the laws of Delaware ("Licensor" or "we", "us", "our") offers and you ("Licensee" or "you", "yours") agree to receive Services from us.

This Agreement is in addition to and, except where explicitly stated, do not supersede, replace, or limit other similar terms in the Terms of Use and Privacy Policy. Capitalized terms not defined herein are defined in the Terms of Use.

Acceptance. By giving your consent , when creating an account, or accessing/using the Service, you accept this License Agreement. If you do not agree, do not use the Service. No signatures are required.

Definitions
  • License Term: means the duration of the plan you select (e. g., monthly, annual, or multi-year) as displayed on the Pricing Page or at checkout, including any automatic renewals, unless terminated earlier in accordance with this Agreement.
  • Licensed Assets: AI-generated image assets created by Licensor using Software and/or Licensor’s services as identified further in Plan specific terms.
  • "Licensee Materials" or "Inputs" means any of Licensee’s information or content uploaded to the Software (including any input data, prompts, artwork, images, looks, textures, sketches, designs, photographs, drawings, sound effects and so on).
  • "Output Content" — means any output from Licensee Materials resulting from usage of Software by Licensee
  • "Software" means Software owned by Licensor licensable under this Agreement as indicated in the Plan terms.
  • "Services" means, collectively, the obligations of Licensor described in applicable Plan terms related to Software implementation as well as any additional services (e. g Licensed Assets/ Output Content generation or other services as agreed by the parties).
  • Plans & Order Summary. The scope (modules, quotas, features), fees, and billing period for your subscription are shown on the checkout page and the Pricing Page, which are incorporated by reference. Any updates to fees apply from the next renewal period; you may cancel before renewal if you do not agree.
  • Derivative Works: Works created by modifying or adapting the Licensed Assets, excluding reverse engineering or replication of the assets’ creation process.
Grant of License
Licensor subject to full payment as a condition precedent will grant to Licensee a non-exclusive, non-transferable, revocable license to use the Software and/or the Licensed Assets during the Term for the Permitted Uses specified herein and applicable Plan terms and Website terms. The Licensee shall not use the Software for any other purpose without the prior written consent of Licensor.
Permitted Uses
  • Digital Media: Use the Licensed Assets in digital formats, including websites, social media, online advertisements, mobile applications, and e-publications
  • Print Media: Incorporate the Licensed Assets into physical forms such as product packaging, marketing materials, magazines, newspapers, books, clothes, etc
  • Broadcast: Include the Licensed Assets in film, television, video, and other multimedia productions
  • Modifications: Modify, adapt, and create Derivative Works from the Licensed Assets, provided such works do not violate the Prohibited Uses
  • Distribute and publicly display the Licensed Assets as part of broader creative projects
Restrictions on Use
Licensee agrees not to:
  • Legal and Policy Compliance: Use the Licensed Assets or associated content in any manner that violates applicable laws, regulations, or Licensor policies.
  • Third-Party Rights: Use the Licensed Assets in a way that infringes, misappropriates, or otherwise violates the intellectual property or other rights of third parties.
  • Sensitive and Unlawful Applications:
    - Use the Licensed Assets in connection with defamatory, obscene, or unlawful purposes.
    - generate, upload, or distribute unlawful, defamatory, misleading, discriminatory, exploitative, or otherwise harmful content, or content that harms or exploits minors;
    - Use the Licensed Assets in association with sensitive topics such as pornography, tobacco, alcohol, drugs, or political endorsements without prior written consent from Licensor.
    - use the Service for biometric identification, surveillance, or to infer sensitive attributes about individuals;
    - create realistic depictions of identifiable persons without a lawful basis and consent where required (including deepfakes or deceptive endorsements);
  • Minors’ Data and Consent: Submit any personal information of children under the age of 13 (or the applicable digital age of consent) to the Licensor or allow minors to use the Licensed Assets or associated services without appropriate parental or guardian consent.
  • Reverse Engineering and Unauthorized Access:
    - Reverse engineer, decompile, or disassemble the Licensed Assets or related technology.
    - Attempt to gain unauthorized access to the underlying technology, algorithms, or systems of the Licensed Assets or associated services.
    - use the Service or Outputs to train or improve competing models without our written permission.
  • Resale and Redistribution: Resell, sublicense, or redistribute the Licensed Assets as standalone files or in a way that allows others to extract the assets.
  • Trademark and Branding Restrictions: Use the Licensed Assets as part of a logo, trademark, or service mark without obtaining appropriate rights.
  • Artificial Intelligence Training: Use the Licensed Assets to train or develop artificial intelligence or machine learning models, particularly those that compete with Licensor’s products or services.
Intellectual Property Rights
  • Software. Licensor retains all rights, title, and interest in and to the Software and Licensed Assets any modifications, enhancements, or derivatives thereof. Licensee is granted no right or license to the Software other than the limited use license expressly set forth herein.
  • License to Inputs (Service Operation). You grant us a non-exclusive, royalty-free license to host, process, transmit, and display your Inputs solely to provide, secure, and support the Service (including caching and storage).
  • Model Improvement your Inputs/Outputs will be used for model improvement ( for improving your own outputs and general model improvement)
  • Feedback. If you provide feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them for any purpose.
Payment
  • Fees and Payment. Subscriptions auto-renew until canceled. You authorize Stripe to charge your payment method each billing period for fees and applicable taxes. Trials convert to paid unless canceled before the trial ends.
  • Refunds are not provided except as required by law. EEA/UK consumers: you may have a 14-day withdrawal right; if you request immediate provision of the digital service and acknowledge losing the withdrawal right once performance begins, service will start immediately and the right will not apply after first use. Failed payments may result in suspension or termination.
  • Late Payment. It is expressly understood that should Licensee for any reason whatsoever fail to make a payment required hereunder, Licensor shall have the right to suspend Software license and/or Licensed Assets provision under this Agreement upon a respective written reminder to Licensee until full payment receipt.
  • Expenses and Taxes. Licensor shall be responsible for all expenses incurred by Licensor in providing the Services. Licensor shall calculate and charge the Licensee for applicable sales, GST or VAT imposed by any governmental entity for products or services provided under this Agreement. Licensee may not deduct any withholding taxes from payments owed to the Licensor unless the parties have agreed in writing the specific amount of taxes to be withheld, along with any other relevant information that the Licensor may reasonably require to seek deductions or relief for the withheld taxes.
Licensee Materials
  • Grant of License. If applicable, Licensee hereby grants to Licensor a limited, revocable, non-exclusive, non-transferable and non-assignable license (without right to sublicense) to internally use the Licensee Materials provided by Licensee to Licensor from time to time for the sole purpose of enabling Licensor to fulfill its obligations under this Agreement and for the purpose of improving the quality of Licensor ’s Software (e. g AI generation models training).
  • Reservation of Rights. Licensee does not grant, and hereby expressly reserves to itself, all other rights in and to the Licensee Materials not specifically granted in section above. Nothing in this Agreement shall be construed to prevent Licensee from using or from granting any other licenses or rights to third parties to use the Licensee Materials in any manner whatsoever throughout the world, including licensing the Licensee Materials for the performance of services similar to those provided by Licensor .
Content Ownership and Licensor Materials
  • Ownership of Content. Licensee retain all ownership rights in Licensee Materials and owns every Output Content. Licensor hereby assigns to Licensee all our right, title, and interest, if any, in and to Output Content. For the avoidance of doubt, Due to the nature of Services and artificial intelligence generally, Output Content may not be unique and other clients may receive similar output from our Services to the extend of a general or publicly available input is used to generate output. The assignment above does not extend to other client’s output or any Third Party Materials.
  • Responsibility for Licensee Materials and Content. Licensee is solely responsible for all Licensee Materials, configurations that Licensee use to Output Content as well as any Output Content that is based on Licensee Materials, actions, and configurations. Licensee will ensure any Output Content complies with the Agreement and Licensor ’s Usage Policies. Licensee represents and warrants that it has all rights, licenses, and permissions required to provide input to the Software. Licensee is solely responsible for all use of the Output Content and evaluation of the Output Content. Licensee agrees to indemnify, defend, and hold Licensor and Licensor ’s’ affiliates harmless against any liabilities, damages, and costs (including reasonable attorneys’ fees) payable to a third party arising out of a third-party claim related to (a) use of the Software in violation of this Agreement (including violation of Licensor ’s Policies), or (b) Output Content.
  • Third-Party Materials. The Software may include or interoperate with third-party software, services, or content, including open-source software ("Third-Party Materials"). Third-Party Materials are subject to their own terms. To the extent a Third-Party license conflicts with this Agreement, the Third-Party license controls for that component.
Term and Termination
  • Term. The term of this Agreement shall commence as of the date of purchase of applicable Plan and shall remain in force and effect until terminated by either party or due to automatic termination upon the expiry of the License Term (the "Term of Agreement").
  • Termination. We may suspend or terminate access immediately (with notice where reasonable) if: (a) you breach this Agreement or the Terms of Use; (b) your use poses security, legal, or reputational risk; © we are required to do so by law or a provider; or (d) you fail to pay fees when due. We will act proportionately and, where feasible, provide a reasonable opportunity to cure. You may cancel at any time in your account settings; cancellation becomes effective at the end of the current billing period unless required otherwise by law. Upon termination, licenses granted to you under this Agreement cease except for provisions that expressly survive (including payment obligations, IP, limitations of liability, dispute resolution). Upon request, we will provide a reasonable opportunity to export your data following termination.
Privacy, Security & Data Protection
For the purposes of this Agreement, "Personal Data" has the meaning set forth in applicable privacy laws. Personal Data. If the Licensee uses the Services to process personal data, the Licensee must (a) provide legally adequate privacy notices and obtain necessary consents for the processing of personal data by the Services, (b) process personal data in accordance with applicable law, and © if processing "personal data" or "Personal Information" as defined under applicable data protection laws, execute Data Processing agreement.
Independent Contractors; Third Party Agreements
Licensor is and shall be deemed to be an independent contractor of Licensee and nothing contained herein shall be deemed to constitute a partnership between or a joint venture by the Parties, or cause either Party to be deemed the employee or agent of the other. Licensor acknowledges that nothing in this Agreement gives Licensor the right to bind or commit Licensee to any agreements with any third parties. This Agreement is not entered into for the benefit of any third party and shall not be deemed to give any right or remedy to any such party regardless of whether it is referred to herein.
Notices
Official notices may be provided: (i) in-product within the Service; (ii) by email to the address associated with your account; and/or (iii) by posting on /legal/updates. Notices are deemed given upon posting in the Service, 24 hours after sending by email (absent a bounce), or upon posting on the site. You are responsible for keeping your contact email current.
General
  • Governing Documents; Order of Precedence. This Agreement is used together with our Terms of Use and Privacy Policy, each incorporated by reference. In case of conflict: for payment terms, license scope, and rights in Inputs/Outputs, this Agreement controls; for website/account use and conduct, the Terms of Use control. If the Plan terms/Pricing Page conflicts with this Agreement, the Plan terms/Pricing Page governs for the relevant billing cycle.
  • Governing Law and Arbitration. This Agreement and any non-contractual obligations arising out of or in connection with it shall be governed by, and construed in accordance with the laws of Delaware without regard to its conflict of law provisions. Dispute resolution terms in the Terms of Use apply and are incorporated by reference.
  • Severability. If any provision of this Agreement is or becomes or is deemed invalid, illegal or unenforceable in any jurisdiction, such provision shall be deemed amended to conform to the applicable laws of such jurisdiction so as to be valid and enforceable, or, if it cannot be so amended without materially altering the intention of the Parties, it will be stricken, but the validity, legality and enforceability of such provision shall not in any way be affected or impaired thereby in any other jurisdiction and the remainder of this Agreement shall remain in full force and effect.
  • Waiver. Waiver by either of the Parties of any breach of any provision of this Agreement shall not operate or be construed as a waiver of any prior or subsequent breach of the same or any other provision hereof.
  • Interpretation. The headings contained herein are for convenience and reference only, do not form a substantive part of this Agreement and in no way modify, interpret or construe the intentions of the Parties. No provision of this Agreement shall be interpreted for or against any Party because that Party or its legal representative drafted such provision. The words "including" and/or "include" shall be interpreted without limitation when used in this Agreement. If this Agreement is translated into any language other than English, the English language version of this Agreement shall prevail. A reference to a statute or statutory provision herein is a reference to such statute or statutory provision as amended, extended or re-enacted from time to time.
  • Warranties and Disclaimers. Services are provided "as is" and the Licensor and its affiliates and licensors hereby disclaim all warranties, express or implied, including all implied warranties of merchantability, fitness for a particular purpose and title, non-infringement, or quiet enjoyment, and any warranties arising out of course of dealing or trade usage. Despite anything to the contrary, the Licensor makes no representations or warranties (a) that use of the Services will be uninterrupted, error-free, or secure, (b) that defects will be corrected, © that Output Content will be accurate, or (d) with respect to third party actions.
  • Limitation of Liability. In no event will Licensor be liable for any indirect, special, incidental, or consequential damages arising out of or in connection with the use or inability to use the Software, including, without limitation, damages for loss of goodwill, work stoppage, computer failure or malfunction, or any and all other commercial damages or losses, even if advised of the possibility thereof.

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES, LICENSORS, AND PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THIS AGREEMENT WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. NOTHING IN THIS AGREEMENT LIMITS NON-WAIVABLE CONSUMER RIGHTS UNDER APPLICABLE LAW.
  • You agree to defend, indemnify, and hold harmless us and our affiliates, officers, directors, employees, agents, and licensors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your Inputs, Outputs, or other content; (b) your use or misuse of the Service; © your breach of this Agreement or applicable law; or (d) your violation of any third-party rights.
  • Changes to this Agreement. We may update this Agreement from time to time. Material changes will take effect prospectively and be notified in-product and/or by email at before your next renewal. If you do not agree to the changes, you may cancel before renewal; continued use after the effective date constitutes acceptance.
  • Force Majeure. We are not liable for delay or failure to perform due to events beyond our reasonable control (including acts of God, labor disputes, government actions, war, terrorism, epidemic, downtime of third-party networks, or internet backbone failures), provided that we use commercially reasonable efforts to mitigate and resume performance.
  • By clicking creating an account, purchasing the Service, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by the terms of this License Agreement.
